Terms and Conditions

These Terms and Conditions set out the agreement between you and us for your use of the Mannerist website and service. Please read them carefully before you create an account.

About these terms

1.1These terms and conditions (the "Terms") are an agreement between you and W. Prendergast, Owner and Founder, a sole trader trading as Mannerist ("we", "us" or "our"). They apply to your use of the website at usemannerist.com (the "Website") and the online records and tax calculation service we provide through it (together, the "Service").

1.2You can contact us by email at help@usemannerist.com. We are here to help with any issue or problem you have. The address is at the bottom of every page of the Website. Our business address is Mannerist, Lytchett House, 13 Freeland Park, Wareham Road, Poole, Dorset, BH16 6FA. We are in the process of registering with the Information Commissioner's Office and will show our registration number here once we have it. We give these details because the Electronic Commerce (EC Directive) Regulations 2002 require anyone who runs an online service to make them easy to find.

1.3By creating an account or using the Service, you confirm that you have read and accepted these Terms and our Privacy Policy. If you do not accept them, please do not use the Service.

1.4You confirm that you are at least 18 years old and that you are using the Service for the purposes of your trade, business or profession, including self-employment and the letting of property, and not as a consumer. Nothing in these Terms affects any legal right that cannot be excluded or limited by law. This is a business-to-business agreement, so the Consumer Rights Act 2015 does not apply to it. The Unfair Contract Terms Act 1977 still applies to the limits on our liability in clause 12.

Our service

2.1Mannerist helps sole traders, landlords and small businesses to organise their income and expenses and to work out their tax. You can upload documents such as PDF files, CSV files, bank statements, receipts and invoices. The Service reads them, sorts the figures into categories and calculates the tax that appears to be due, using the tax rates, thresholds and rules published by HM Revenue & Customs ("HMRC") and set out in UK law.

2.2Features that send information to HMRC are available only when, and to the extent that, HMRC has approved us to provide them. We will tell you on the Website and by email when this becomes available. Until then, the Service does not send any information to HMRC on your behalf, and using the Service does not meet any filing, payment or digital record-keeping duty you have to HMRC.

2.3We may improve, add to or change features of the Service from time to time. We will give you reasonable notice of any change that significantly reduces what the Service does for you.

Your account

3.1You must give us accurate and complete information when you create your account and keep it up to date.

3.2You must keep your login details secure and must not share them. You are responsible for everything done through your account. Please tell us straight away by emailing help@usemannerist.com if you think someone else has gained access to it.

3.3We may suspend or close an account if we reasonably believe that the information you gave us is false, that the account is being misused, or that you have broken these Terms.

Subscription, prices and payment

4.1The Service is provided on a subscription basis. You can pay monthly or yearly. At the date of these Terms the price is £9 per month or £90 per year. The yearly plan costs the same as ten months of the monthly plan, so you get two months free compared with paying monthly. The price of each plan, and what it includes, is shown on the Website before you subscribe.

4.2A monthly subscription is billed in advance each month. A yearly subscription is billed in advance once a year. Either one renews automatically at the end of each period until you cancel it under clause 5. We will email you before a yearly subscription renews, so that you can choose to stay or to cancel, and we will email you if a payment fails or if your access is going to be suspended.

4.3Payments are taken by Stripe, a third-party payment provider. We do not see or store your full card details.

4.4We may change our prices. We will give you at least 30 days' notice by email before a price change takes effect, and you may cancel before it starts if you do not wish to pay the new price. A change to the price of a yearly plan applies from your next renewal, not part way through a year you have already paid for.

4.5If a payment fails, we will tell you and try again. If we are still unable to collect payment, we may suspend your access until the amount is paid.

Cancelling your subscription

5.1You may cancel at any time from your account settings or by emailing help@usemannerist.com. Cancellation takes effect at the end of the billing period you have already paid for, and you can keep using the Service until then.

5.2We do not give refunds for part of a billing period that has already started, except where we have charged you in error, where the Service has been unavailable for a significant part of the period for reasons within our control, or where the law requires us to.

5.3You can download your records from your account before your subscription ends. What happens to your information after you cancel is explained in our Privacy Policy.

Your responsibilities

6.1You are responsible for the accuracy and completeness of the documents and information you upload or enter. The results the Service produces depend on what you give it.

6.2You must check the figures and categories the Service produces before you rely on them or, where that feature is available, before you submit anything to HMRC.

6.3You remain responsible for keeping the records that the law requires you to keep, for deciding which income and expenses are taxable or allowable, and for meeting your own tax deadlines. The main rules are in the Taxes Management Act 1970, which requires you to keep records to support your tax return, and in the Income Tax (Digital Requirements) Regulations 2021, which set out what Making Tax Digital for Income Tax expects of you. HMRC's guidance says most people must keep their records for at least five years after the 31 January submission deadline for the tax year.

6.4If the documents you upload contain personal information about other people, such as tenants, customers or suppliers, you confirm that you are entitled to upload it and that you will handle it in line with data protection law. Data protection law means the UK GDPR and the Data Protection Act 2018.

Estimates and tax advice

7.1The Service calculates tax from the information you provide, using tax rates, thresholds and rules that we take from HMRC and UK law. We work to keep these correct and up to date for each tax year.

7.2A calculation made by the Service is not HMRC's own calculation. HMRC may hold other information about you, such as income from an employer, interest, dividends, payments already made, your tax code or adjustments from earlier years. HMRC's own calculation, and the amount HMRC states that you owe, is the amount that counts. It may differ from ours.

7.3The Service is software. We are not accountants, tax advisers, financial advisers or legal advisers, and nothing in the Service or on the Website is tax, accounting, financial or legal advice. Where the Service suggests a category for an item, it is an automated suggestion and the decision is yours. If you are unsure about your tax position, you should speak to a qualified adviser.

Connecting to HMRC

8.1When features that connect to HMRC become available, you will be asked to give us permission by signing in through HMRC's own sign-in service. We never see or store your HMRC password. We will act on your behalf only within the permission you give.

8.2We will not send anything to HMRC until you have reviewed it and confirmed that you want it sent.

8.3You can withdraw our permission at any time through your HMRC online account, or by telling us. If you do, we will stop sending information to HMRC for you.

8.4HMRC controls its own systems, rules and availability, and may change them or have faults that are outside our control. We are not responsible for delays, errors or refusals that arise from HMRC's systems or decisions. HMRC's penalties for late or missing returns and late payments are set by Parliament in the Finance Act 2021, and HMRC, not us, decides whether to charge them.

8.5Any tax you owe is paid directly to HMRC. We do not receive, hold or transfer your tax payments.

Acceptable use

9.1You must not use the Service to do anything unlawful, to submit false or misleading information to HMRC or anyone else, or to evade tax. Giving HMRC false information can lead to penalties and, in serious cases, prosecution.

9.2You must not try to gain unauthorised access to the Service or to anyone else's account or data, interfere with its security or normal operation, copy or resell it, or use automated tools to extract data from it. Unauthorised access to computer systems is also a criminal offence under the Computer Misuse Act 1990.

9.3You must not upload files that contain viruses or other harmful code, or material that you do not have the right to use.

9.4If you break this clause, we may suspend or close your account under clause 13.

Intellectual property and your content

10.1We own, or are licensed to use, all rights in the Service and the Website, including the software, design, text and the Mannerist name and logo. You may use them only as these Terms allow. These rights are protected by the Copyright, Designs and Patents Act 1988.

10.2You keep ownership of the documents and information you upload ("your content"). You give us permission to store, read and process your content only so far as is needed to provide the Service to you, as explained in our Privacy Policy.

Availability and support

11.1We will provide the Service with reasonable care and skill. This is the standard the Supply of Goods and Services Act 1982 puts on anyone who supplies a service.

11.2We do not promise that the Service will always be available or free from errors. We may need to suspend it for maintenance or because of events outside our control, and we will try to give notice and keep any interruption short.

11.3If you have any issue or problem, or need help, email us at help@usemannerist.com. We are here to help, and we aim to reply within 48 hours of receiving your message.

Our liability

12.1Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law. This follows section 2(1) of the Unfair Contract Terms Act 1977, which does not allow anyone to exclude liability for death or personal injury caused by negligence.

12.2Subject to clause 12.1, we are not liable to you for any loss of profit, revenue, business, contracts or goodwill, or for any indirect or consequential loss, arising from your use of the Service.

12.3Subject to clause 12.1, we are not liable for any penalty, interest or surcharge charged by HMRC to the extent that it results from information you provided, from your decision not to check a figure before relying on it, from a late or missed deadline, or from a fault in HMRC's systems.

12.4Subject to clause 12.1, our total liability to you for all claims arising out of or in connection with the Service, whether in contract, negligence or otherwise, is limited to the total fees you paid us in the 12 months before the event that gave rise to the claim.

12.5We are not responsible for any failure or delay in providing the Service that is caused by events outside our reasonable control.

Ending the agreement

13.1You may end this agreement at any time by cancelling under clause 5.

13.2We may suspend or end your access immediately if you seriously or repeatedly break these Terms, misuse the Service, or do not pay an amount due within a reasonable time after we have asked you to.

13.3We may also end this agreement for any other reason by giving you at least 30 days' notice. If we do, we will refund the part of any fee you have paid for the period after the agreement ends.

13.4When this agreement ends, your right to use the Service stops. You may ask us to export your records within 30 days. We will then deal with your information as set out in our Privacy Policy. Clauses that are meant to continue after the agreement ends, including clauses 7, 12 and 15, will continue to apply.

Changes to these terms

14.1We may update these Terms from time to time, for example to reflect changes in the law, in HMRC's requirements or in the Service.

14.2We will give you at least 30 days' notice by email of any change that matters to you. If you continue to use the Service after the change takes effect, you accept the new Terms. If you do not agree to them, you may cancel before the change takes effect.

14.3The current version of these Terms is always available on the Website.

General, governing law and contact

15.1These Terms, together with our Privacy Policy, are the whole agreement between you and us about the Service.

15.2You may not transfer your rights or duties under these Terms to anyone else without our written consent. We may transfer ours to another person or business that takes over the Service, and we will tell you if we do.

15.3If any part of these Terms is found to be unenforceable, the rest will continue to apply. If we do not enforce a right straight away, we do not lose it.

15.4No one other than you and us has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

15.5These Terms, and any dispute or claim arising from them, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

15.6If you have a complaint, please contact us first by email at help@usemannerist.com, or by post at Mannerist, Lytchett House, 13 Freeland Park, Wareham Road, Poole, Dorset, BH16 6FA. We will acknowledge it within 48 hours and try to resolve it fairly and quickly.

The laws mentioned in these Terms

16.1We have named the laws that sit behind these Terms so that you can see what we rely on and what protects you. You can read any Act or set of regulations for free at legislation.gov.uk. This list is a plain-English guide and is not legal advice.

16.2Taxes Management Act 1970: the main law on tax returns, record keeping and HMRC's powers to check them.

16.3Income Tax (Digital Requirements) Regulations 2021: the rules for Making Tax Digital for Income Tax, including keeping digital records and sending quarterly updates.

16.4Finance Act 2021: sets the penalty rules for late submissions and late payments to HMRC.

16.5UK GDPR and Data Protection Act 2018: the data protection laws that govern how we handle your personal information. Our Privacy Policy explains this in full.

16.6Electronic Commerce (EC Directive) Regulations 2002: require us to give our identity and contact details clearly on the Website.

16.7Supply of Goods and Services Act 1982: requires services to be provided with reasonable care and skill.

16.8Unfair Contract Terms Act 1977: limits how far a business can restrict its liability, including to other businesses.

16.9Consumer Rights Act 2015: protects consumers. These Terms are for business use, so it does not apply, but nothing here takes away any right you have that cannot be removed.

16.10Copyright, Designs and Patents Act 1988: protects the software, design and text of the Service.

16.11Computer Misuse Act 1990: makes unauthorised access to computer systems a criminal offence.

16.12Contracts (Rights of Third Parties) Act 1999: explains who can enforce these Terms (see clause 15.4).

16.13Laws can change. If a change affects these Terms, we will update them as described in clause 14.
